This agreement is by and between Internet Business Ideas Inc. and you (the affiliate) which includes any business entity associated or with the affiliate account or acting as affiliate and any such individual or entity that will receive affiliate commission and payments associated with the affiliate account you are registering. Unless the context requires otherwise, Internet Business Ideas Inc. and/or their assigns shall be referred to as "us, we, or our" and you shall be referred to as "you, your, entity, foreign entity, or affiliate."

You understand that Internet Business Ideas Inc. and/or their assigns does not guarantee or predict any type of profit or response from said services. You agree to hold Internet Business Ideas Inc. harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which Internet Business Ideas Inc. and/or their assigns may become subject arising out of or relating in any way to the use of the services provided under this agreement, including, without limitation, in each case attorneys' fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities.

A. Services to be Provided. We agree to pay you certain commissions as described on our web site for referred purchases made by customers who are referred by you via your affiliate link and credited to your affiliate account via the affiliate link tracking system provided by us.

(a) if you violate our Terms Of Service Policy; (b) promote Internet Business Ideas Inc. products and services in a manner that is unethical, illegal under international and/or U.S laws, inappropriate (c) for violation of or noncompliance with the terms in this agreement, (d) for failure to comply with U.S. tax code requirements; or (e) for any reason, at our sole discretion.

D. TERMS. You agree:

(1) to use our system in a manner that is ethical and in conformity with laws, and community standards;
(2) to respect the privacy of other users (you shall not intentionally seek data or passwords belonging to other users, nor will you modify files or represent yourself as another user unless explicitly authorized to do so by that user);
(3) to respect the legal protection provided by copyright law, trade secret law, or other laws protecting intellectual property.
(4) to accept commercial emails from us. If you unsubscribe from accepting email from us we may at our discretion terminate your account without notice. The reason for this is that we send announcements to our affiliates to keep them updated on our products and services which is part of an established business relationship meant to help you increase the profitability of your relationship with Internet Business Ideas Inc. and your ability to effectively promote our products and services which you are registering to promote as an affiliate.  If you unsubscribe from our mailing list we interpret that as signifying that you do not desire to continue your business relationship with us. By accepting this affiliate agreement you acknowledge and accept that interpretation and agree that your affiliate account will be terminated if you unsubscribe from our mailing list which we use to keep you up to date on our products, services, and promotions for the mutual benefit of our business relationship with you.
(5) not to send Unsolicited Bulk Email to promote our products and not to include your affiliate link in any form of Unsolicited Email. Specifically you are prohibited in accordance with these terms to send email promoting our products and services via any form of Unsolicited Email also known as Spam to harvested or purchased email lists. In other words if a person did not specifically opt in at your web site or purchase a product or service from you thus initiating a client relationship with you DO NOT send promotions for our products or services to these people. You also agree that any form of email marketing must be compliant with state, federal, and international laws governing commercial email. Violation of state, federal, and international email laws will result in termination of your affiliate account. If we receive a spam complaint associated with your affiliate account we will attempt to verify the complaint and if the email was in fact unsolicited we will cancel your affiliate account and you agree to be liable for damages resulting from any civil litigation initiated against us, including legal fees and court costs, related to violation of these terms and/or violation of state, federal, and international email laws and sending unsolicited spam email. In other words SPAM is Not allowed. Don't do it and it will not be an issue. We understand from time to time subscribers forget they subscribed or initiated a client relationship with you and we will attempt to verify allegations before acting on them. If you fail to honor unsubscription requests or take part in any form of unethical or illegal spam email campaigns to promote our products we will be under the necessity of canceling your account. 
(6) not to purchase our products and services using your own affiliate link. This is not allowed and you will not be credited with these commissions if you purchase services or products using your affiliate link. This is known as Affiliate Theft and is prohibited. You accept this term and agree that your affiliate account may either be terminated or the unauthorized commission credited to your account from your attempt to purchase our products and services using your own affiliate link will be canceled. The decision of whether to terminate for a violation of these terms will be at our discretion. 
(7) not to attempt to become a sub affiliate to your self. Also if you attempt to use a fake identity, associate, family member, friend, or employee to create a sub affiliate account who is not personally promoting our products and services independently of you and individually generating sales without your assistance, with the intention of obtaining "double" credit or primary + sub affiliate commissions; your account will be terminated and any outstanding commission payments will be canceled. Any form of this type of fraud is terms for cancellation. Second tier affiliates are encouraged to sign up but we require you to operate in an ethical and honest way and any dishonest actions on your part are terms for immediate termination.
(8)to provide correct and complete affiliate account and tax information including your full legal name, applicable business name, mailing address, contact phone number, tax id, and working email address. You also agree to submit by mail to: Internet Business Ideas Inc. 1900 Grassmere Street Boise ID, 83709 such completed forms as required by the U.S. tax code and described in this agreement: a completed and correct IRS form W9 (for us individuals, entities, and corporations), or IRS form W8 -BEN (for foreign individuals and entities with U.S. activities), or alternately Form 8233 (for foreign individuals and entities with no U.S. activities). Foreign individuals and entities may need to obtain a TIN (taxpayer identification number) in order to correctly complete the required forms. If you fail to include the required information in your affiliate account (Legal Name, Business Name, Mailing Address, email address, and tax id) and/or you fail to submit the required tax forms your affiliate commissions and any payments will be withheld until the necessary forms and documentation as required by US tax code and the terms of this agreement are completed. If such forms are not completed and received by December 31st of the current year or of the year during which affiliate commissions are earned the affiliate commissions will become null and void and by failing to meet these terms you will waive all claim to such commissions earned before December 31st of the current year or of the year during which the commissions were earned and the required forms associated with your affiliate account were not received by Internet Business Ideas Inc. Beginning January 1st of the following year the affiliate continues to earn commissions and still has not met the requirements as outlined above commissions will be withheld and accrued until the required forms are received by Internet Business Ideas Inc. On the subsequent December 31st as prescribed by the terms above any accrued commissions owed to an affiliate failing to meet the requirements regarding the submission of forms and affiliate account information required by U.S. tax code and this agreement will become void and expire and the affiliate will no longer be eligible for those commissions.
(9)to provide your full and legal name and business name as well as current and correct information requested during affiliate account creation and in your affiliate account profile at all times. If you use a fake name (alias or other not legally recognized name) or any other falsified, incorrect, or deceptive information in your affiliate account you waive any claim to that account as well as voiding any affiliate commissions associated with that affiliate account and your affiliate account will be terminated at our discretion. If your account information is correct but incomplete we will withhold any affiliate commissions due until the account is properly updated with the required information as outlined in these terms and requested in your account profile. If Internet Business Ideas Inc. or its representatives send notification that your account information is incomplete or incorrect by Internet Business Ideas Inc. or its representatives that you need to update your account info, you you fail to comply for within a period of 30 days any outstanding commissions associated with your affiliate account will be void and your account will be suspended or terminated at our discretion. You agree not to conceal your identity from us and conduct your self in ethically, honestly and with integrity according to local, state, federal, and international laws. Any violation of the law in relation to your affiliate or customer accounts and in your operation as an affiliate of Internet Business Ideas Inc. is grounds for immediate suspension and termination of your affiliate account.
(10)Internet Business Ideas Inc. reserves the right to withhold payment until the commissions owed exceed $50.00. This will help us to combat affiliate link chopping and commission theft. However, from time to time for accounting purposes we will pay commissions accrued which are less than $50.00 at our discretion. Affiliate commissions will be paid during the 60 day cycle following a 60 day holding period to hedge against potential refunds and chargebacks. Any refund or chargeback associated with an affiliate sale after the commissions related to that sale have already been paid will be debited against subsequent commissions earned during the current commission period.

If we learn of a violation or likely violation of this agreement or our website TERMS OF SERVICE we may attempt to notify you if the violation merits investigation. If you do not take immediate remedial action which is satisfactory to us, or in the event of a serious violation of the TERMS OF SERVICE, we reserve the right to suspend or terminate your account immediately. Every effort will be made to inform you prior to account termination if it is not a blatant violation of our terms of service like in the case of affiliate theft, violation of local, state, federal and international laws, blatant spam (including email, ip, blog comment, forum post, instant message, social network site), or deception, and to re-establish your account upon receiving such representations from you as we deem appropriate after we consider the circumstances.

YOUR ACCOUNT WILL BE TERMINATED IMMEDIATELY AND WITHOUT WARNING SHOULD YOU USE OUR SYSTEM AS PART OF ANY UNSOLICITED (SPAM) EMAIL CAMPAIGN OR ANY FORM OF BLATANT UNSOLICITED (SPAM) MARKETING INCLUDING IP TO IP MESSAGING, BLOG COMMENTING, SOCIAL NETWORK COMMENTING OR MESSAGING, DRIVE BY FORUM POSTING, PRIVATE MESSAGING, INSTANT MESSAGING, SMS AND TEXT MESSAGING, etc.. However, spam complaints lodged against you must be substantiated and the complainant is under the burden of providing evidence that the email or other form of communication they received from you was unsolicited or in violation of these terms or legal legislation that governs your marketing. We take all such complaints seriously and will deal with them swiftly and properly so that all parties are treated fairly and justly and that laws and regulations are complied with.

E. Assignment. This agreement is between you and Internet Business Ideas Inc. You may not assign your rights under this agreement without our prior written consent from Internet Business Ideas Inc. If you allow someone other than you to use your account, you shall remain liable for any actions brought against Internet Business Ideas Inc. in relation to your affiliate account. Internet Business Ideas Inc. may assign this agreement at any time.

F. Change of Terms and Conditions. We reserve the right to change the terms and conditions of this agreement as needed. Use of our servers, websites, and affiliate system in any way by you after said changes constitutes acceptance of updates to these terms and this agreement and you will be bound by the new terms.

G. Notification of Account Changes. You agree to provide us with such other information relating to your use of this service as we deem necessary or desirable. You agree to notify us if your address, email address, telephone number, billing information, tax status, entity type, or anything else effecting your affiliate account or other information related to your affiliate account and this agreement changes.

H. Notices. All notices, requests, demands, and other communications under this agreement shall be in writing or digital document whether webpage, downloadable digital document, or email and shall be deemed to have been given on the date of delivery: if delivered personally to the party to whom notice is to be given; if sent by electronic mail with a cc: to sender; if published to website; if sent by fax; or on the third day after mailing by first class mail.

I. General Provisions. The subject headings of the articles and sections are for convenience only, and shall not affect the construction or interpretation of any of its provisions. If any portion of this agreement is found invalid or unenforceable, that portion shall be severed and the remainder of this agreement shall remain in force. This agreement constitutes the entire agreement between us and you pertaining to its subject matter and supersedes all of our prior agreements, representations, and understandings with you. Supplements, modifications, or amendments of this agreement issued by Internet Business Ideas Inc. shall be binding. No waiver of any of the provisions of this agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by Internet Business Ideas Inc. This agreement may be executed in one or more counterparts. Each shall be deemed an original, but all of which together shall constitute one and the same instrument. If an organization is the affiliate, the individual signing up for our services; and or the affiliate account represents that he or she is duly authorized to enter into this agreement on behalf of that organization. In the event of a dispute, the parties agree to submit the matter to a Community Dispute Resolution Service or any recognized Arbitration Board located within Ada county in the State of Idaho, before instituting litigation.
